1. Who can use PrepFlo

PrepFlo is a business service for the motor trade. You must be at least 18 and use the Service for business purposes only. If you sign up on behalf of a company, you confirm that you have authority to bind that company, and "you" includes that company.

There are two types of user:

• Subcontractors (for example windscreen, dent, SMART, alloy wheel and trim specialists), who use the mobile app and web dashboard to receive and manage jobs.
• Dealerships, who use the web dashboard and portal to manage stock, prep tasks and book jobs with subcontractors.

2. Your account

• You must give accurate information and keep it up to date.
• You are responsible for all activity under your account, including activity by people you invite or give access to.
• Dealership dashboards are protected by a password you create and a private link. Keep both secure and do not share them outside your team. Tell us promptly if you think your account or link has been compromised.
• We may refuse, suspend or remove accounts that breach these Terms.

3. What PrepFlo is, and is not

PrepFlo is a software platform that helps dealerships and subcontractors organise, schedule and track work. We are not a party to any agreement between a dealership and a subcontractor. Each job is a separate contract between those two parties.

Accordingly, and to the extent permitted by law, we are not responsible for:

• the quality, timing, safety or outcome of any work carried out;
• prices, quotes, invoicing or payment between dealerships and subcontractors;
• damage to, or loss of, vehicles or property, or any insurance, warranty or compliance matter relating to the work;
• the accuracy of information that users enter, including vehicle details, registrations, dates and costs.

You are responsible for your own insurance, licences, tax and regulatory obligations (including consumer, health and safety, and data protection law) in relation to the work you do or commission.

4. Subscriptions, fees and billing

• The Service is a paid subscription. At the date of these Terms the price is £99 per month per subcontractor account and £99 per month per dealership. That is the full monthly price, with nothing added on top.
• Subscriptions renew automatically each month until cancelled. You can cancel at any time and your access continues until the end of the period you have paid for.
• Mobile app subscriptions are bought through, and billed by, Apple (App Store) or Google (Google Play) and are managed in your Apple or Google account settings. Web subscriptions are billed through our payment provider, Stripe.
• Refunds for App Store and Google Play purchases are handled by Apple or Google under their policies. For web subscriptions, fees are non-refundable except where required by law or where we state otherwise.
• We may change our prices on reasonable notice. Changes take effect from your next renewal, and you may cancel before then if you do not accept them.
• If payment fails or a subscription ends, we may restrict access to paid features.

5. Acceptable use

You agree not to:

• break the law or use the Service for anything fraudulent, misleading or abusive;
• upload content you do not have the right to share, or that is unlawful, offensive or infringes anyone’s rights;
• access another user’s account, portal or data without permission, or attempt to bypass security or access controls;
• scrape, copy, reverse engineer, resell or interfere with the Service or its infrastructure;
• use the Service to send spam or to contact people who have not agreed to hear from you.

6. Your content and data

You keep ownership of the information, photos and other content you add to the Service ("Your Content"). You give us a limited, worldwide licence to host, process, display and transmit Your Content so we can run and improve the Service, including sharing it with the other party to a job (for example, job details are visible to both the dealership and the subcontractor involved).

You are responsible for Your Content and for having the right to share it, including any personal data of customers or staff. We handle personal data as described in our Privacy Policy.

7. Integrations and third-party services

The Service may connect with third-party systems (for example another business’s job management app) and rely on third-party providers such as Apple, Google, Stripe, mapping, email and notification services. We are not responsible for third-party services, and your use of them is subject to their own terms. If you connect an integration, you authorise us to exchange the relevant job information with it.

8. Availability and changes

We aim to keep the Service available and working, but we do not guarantee it will be uninterrupted or error free. We may update, add or remove features, and we may carry out maintenance. Notifications, scheduling and status information are provided to help you and should not be relied on as the only record of an urgent or critical matter.

9. Intellectual property

The Service, including its software, design, branding and content (other than Your Content), belongs to us or our licensors. We give you a limited, non-exclusive, non-transferable, revocable right to use the Service for your business in line with these Terms. All other rights are reserved.

10. Our liability

• Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law.
• The Service is provided "as is" and "as available". To the extent permitted by law, we exclude all implied warranties and conditions.
• To the extent permitted by law, we are not liable for loss of profit, revenue, business, goodwill or data, or for indirect or consequential loss.
• Our total liability to you arising from or in connection with the Service in any 12 month period is limited to the fees you paid us for the Service in that period.

11. Suspension and termination

You can stop using the Service at any time and may delete your account by contacting us. We may suspend or end your access if you breach these Terms, if required by law, or if we stop providing the Service (in which case we will give reasonable notice where we can). Sections that by their nature should survive termination (including 6, 9, 10 and 13) will continue to apply.

12. Apple App Store and Google Play

If you download the app from the Apple App Store or Google Play, you also acknowledge that: these Terms are between you and us, not Apple or Google; Apple and Google have no obligation to provide support or maintenance for the app; Apple and Google are not responsible for any claims relating to the app; and Apple and its subsidiaries are third-party beneficiaries of these Terms for the Apple-distributed app and may enforce them against you. You must also comply with the terms of the relevant app store.

13. Changes, law and disputes

We may update these Terms from time to time. If we make a material change we will tell you (for example in the app or by email) and may ask you to accept the new version. Continuing to use the Service after a change means you accept it.

These Terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, although if you are a consumer you may have the right to bring proceedings in your local courts. Please contact us first so we can try to resolve any complaint informally.
